Enterprise SaaS Agreement for Google Cloud Marketplace Customers
I. Scope of Agreement
This Enterprise Software-as-a-Service Agreement ("Agreement") governs the subscription, access, and use of the Amidot AI platform ("Service"), provided by Amidot Limited ("Provider") as an integrated SaaS solution through the Google Cloud Marketplace. By subscribing to or accessing the Service, the customer organization ("Customer") agrees to these terms.
II. Google Cloud Marketplace Billing & Invoicing
The Service is procured and billed exclusively through Google Cloud Marketplace:
- Unified Invoicing: All subscription fees, metered AI token charges, compute allocations, and storage fees are billed directly to the Customer's Google Cloud Billing Account via Google Partner Procurement and Service Control APIs.
- Usage Reporting: Metered usage is aggregated and reported on an hourly basis. Charges appear under the product identifier
amidot-aion the Customer's official Google Cloud invoice. - Entitlement Status: Access to the Service is contingent upon an active entitlement status in Google Cloud Marketplace. Cancellation of the entitlement through the Google Cloud console terminates billable usage at the end of the billing cycle.
III. Data Isolation & Privacy Policy
Amidot AI is architected with strict multi-tenant data isolation and privacy guarantees:

| Tenant Storage Isolation | Every corporate organization is logically partitioned into dedicated Google Cloud Storage (GCS) containers. Data cannot be queried or accessed across tenant boundaries. |
| Encryption Standards | All data in transit is encrypted using TLS 1.3. All data at rest in GCS containers is encrypted using Google Cloud AES-256 managed encryption keys. |
| Data Ownership & Right to Deletion | Customer retains 100% intellectual property ownership of all uploaded inputs and generated outputs. Deletion of sessions or files triggers permanent, unrecoverable purging from storage. |
IV. Proactive Budget Controls & Gatekeeper Guardrails
To protect Customers against runaway automated API costs and billing anomalies:
- First-Month $150 USD Cap: New enterprise customer accounts default to a maximum usage spend limit of $150 USD in their first 30 days (excluding base subscription fees) as a safety guardrail during organizational rollout.
- Pre-Emptive Rate Limiting: Requests exceeding per-minute or per-month token thresholds are rejected with HTTP 429 before external model computation is executed.
- User-Configurable Limits: Authorized Administrators can adjust monthly spend limits per seat directly in the application console.
V. Service Level Agreement (SLA) & Availability
The Service operates on Google Cloud serverless infrastructure (Cloud Run Gen2, Vertex AI, GCS). Amidot targets an operational availability of 99.9%, subject to the underlying Google Cloud Platform Service Level Agreements.
